1. Acceptance of Terms

By accessing or using any component of the Service, including the website or Telegram Bot, you expressly agree to these Terms of Use and our Privacy Policy. If you do not agree in full, you may not use or access the Service in any manner.

2. Changes to Terms

We reserve the unilateral right to modify, suspend, or discontinue any aspect of these Terms at any time. Notice of material changes will be delivered via prominent banner on the website, in-bot announcement, or e-mail. Continued use of the Service after such notice constitutes your acceptance of the revised Terms.

3. Eligibility

You must be at least 18 years of age, and capable of entering into binding legal agreements under the laws of Florida. By using the Service, you represent and warrant that you satisfy these requirements.

4. Account Registration & Security

• Registration: To use core features—alerts, auto-buy/sell, PnL tracking—you must register an account and link it to your Solana wallet public key.

• Credentials: Safeguard your private key; it must never be shared. You are solely responsible for any actions taken with your credentials.

• Unauthorized Access: Promptly notify us of any unauthorized use or security breach. We are not liable for losses arising from compromised credentials.

5. Description of Service

GEMSNIPING aggregates on-chain data and third-party API feeds to provide:

• Real-time Alerts: Instant notifications on new token mints and market movements.

• Auto-Trading: Optional “turbo” auto-buy/sell functionality triggered on detection or notification.

• Analytics Dashboard: Historical swap records, profit & loss calculations, and portfolio health metrics.

• ATA Management: On-demand checking and closing of empty Associated Token Accounts to reclaim rent.

6. User Conduct

You agree not to:

1. Violate any applicable federal, state (including Florida), or international law.

2. Engage in manipulative or deceptive trading practices, including pump-and-dump schemes.

3. Interfere with or disrupt our Service, servers, or networks.

4. Reverse-engineer, copy, modify, or extract data except via the user-facing interfaces we provide.

7. Intellectual Property

All trademarks, service marks, trade dress, graphics, text, and code (“Content”) are owned by GEMSNIPING or its licensors. You may not reproduce, distribute, display, or create derivative works of any Content without our express written permission.

8. Third-Party Services

We integrate third-party data—Solana RPC nodes, Jupiter, etc. Your use of those services is governed by their own terms. We do not guarantee their availability, accuracy, or performance.

9. Disclaimers

• “As-Is” Basis: The Service is provided strictly “as is” and “as available.” We expressly disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Your use is at your own risk.

• No Financial Advice: Nothing on the website or in the Bot constitutes investment, financial, or trading advice. All content is for informational purposes only. You must perform your own due diligence and consult a qualified professional before making any financial decisions.

• Accuracy & Completeness: While we endeavor to aggregate and display data accurately and timely, we make no warranties regarding the completeness, reliability, or timeliness of information. Data delays or inaccuracies may occur due to network conditions or upstream provider issues.

10. Limitation of Liability

To the maximum extent permitted by applicable law, under no circumstances shall GEMSNIPING, its officers, directors, employees, agents, or affiliates be liable for any:

• Direct, indirect, incidental, special, punitive, or consequential damages;

• Lost profits, trading losses, data loss, or business interruption;

• Any damages arising from unauthorized access to or alteration of your transmissions or data;

• Any damages resulting from mistakes, omissions, interruptions, deletion of files, operator errors, or any other errors or malfunctions.

Even if we have been advised of the possibility of such damages, our total aggregate liability shall not exceed the greater of (a) USD $100 or (b) the amounts you have paid us in the last six months.

11. Indemnification

You agree to indemnify, defend, and hold harmless GEMSNIPING and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, losses, liabilities, damages, expenses, and costs (including reasonable attorneys’ fees) arising out of or relating to:

• Your breach of these Terms;

• Your negligence, willful misconduct, or violation of any law;

• Your use of the Service or reliance on any content obtained through the Service.

12. Termination

We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason—including violation of these Terms—without prior notice. Upon termination, your right to use the Service immediately ceases and we may delete or disable your account and all associated data. Sections 6, 7, 8, 9, 10, 11, 13, 14, and 15 shall survive termination.

13. Governing Law & Dispute Resolution

These Terms and any dispute between you and GEMSNIPING shall be governed by and construed under the laws of the State of Florida, USA, without regard to conflict-of-law provisions. You agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida, and waive any objection to jurisdiction or venue in such courts.

14. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GEMSNIPING relating to your use of the Service. They supersede all prior or contemporaneous agreements, proposals, or communications between you and GEMSNIPING, whether oral, written, or electronic.
